These Terms of Use ("Terms") govern your access to and use of evinitiative.com and our related digital properties (collectively, the "Sites"), operated by EV Initiative Inc. ("EV Initiative," "we," "us," or "our"). By accessing or using the Sites, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Sites.

Eligibility

You must be at least 18 years old and able to form a binding contract to use the Sites. By using the Sites, you represent and warrant that you meet these requirements.

The Sites and Our Services

The Sites provide information about EV Initiative and our charging infrastructure, hardware, software, community, and investment activities. They allow you to request information, submit inquiries, request hardware quotes, and express interest in investment opportunities. The Sites are provided for general informational purposes.

No Offer of Securities; Forward-Looking Statements

Nothing on the Sites constitutes an offer to sell or a solicitation of an offer to buy any security, nor investment, legal, tax, or financial advice. EV Initiative is not a broker-dealer, funding portal, or investment adviser. All investment opportunities are offered exclusively through an SEC-registered funding portal or broker-dealer and only by means of official offering documents filed with the U.S. Securities and Exchange Commission. Any information you submit regarding an investment is an expression of interest only and creates no obligation.

User Submissions

Any information, materials, or content you submit through the Sites, including form submissions and community contributions, must be accurate, lawful, and must not infringe the rights of others. You grant EV Initiative a non-exclusive, worldwide, royalty-free license to use, store, and process your submissions to operate the Sites and our services. You are responsible for the content you submit.

Acceptable Use

You agree not to use the Sites for any unlawful purpose; interfere with or disrupt the Sites or their security; attempt to gain unauthorized access to any system or data; use automated means to access or scrape the Sites except as expressly permitted; transmit malicious code; impersonate any person or entity; or use the Sites in any way that could damage, disable, or impair them.

Third-Party Links and Services

The Sites may link to and integrate third-party websites and services, including our community platform, hardware store, payment processor, and the funding portal that hosts our offerings. We do not control and are not responsible for third-party services, and your use of them is at your own risk and subject to their terms.

Hardware Sales

To the extent you purchase hardware through the Sites, additional terms regarding pricing, availability, ordering, payment, shipping, and returns may apply and will be presented at the time of purchase. Quotes are estimates, are non-binding, and are subject to change and confirmation. Prices are subject to change without notice.

Disclaimer of Warranties

THE SITES AND ALL CONTENT, PRODUCTS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EV INITIATIVE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITES, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SITES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify, defend, and hold harmless EV Initiative and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Sites, your submissions, or your violation of these Terms or applicable law.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Sites will be resolved through binding arbitration administered in California on an individual basis, and you and EV Initiative waive any right to a jury trial or to participate in a class action, to the fullest extent permitted by law. Either party may still seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

Changes to These Terms

We may modify these Terms at any time. When we do, we will update the "Last updated" date above. Your continued use of the Sites after changes become effective constitutes your acceptance of the revised Terms.

Termination

We may suspend or terminate your access to the Sites at any time, with or without notice, for any reason, including violation of these Terms.

Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver. These Terms, together with our Privacy Policy, are the entire agreement between you and EV Initiative regarding the Sites.
